Abstract

The research investigates corporate governance functions in startups together with its impact on early-stage companies. The research investigates the importance of corporate governance for early-stage companies and their governance differences from large firms. The research stems from the observation that corporate governance scholarship mainly studies large listed companies yet startups comprise an expanding vital sector of the global economy. The research design combines doctrinal research methods with case study evaluations. The research develops its theoretical framework about early-stage company governance through an examination of academic literature and legal frameworks and regulatory codes. The research evaluates the governance challenges of Theranos, WeWork, Airbnb, Monzo, and Revolut through case studies. The research combines theoretical debates with practical outcomes through this methodology. The research demonstrates that governance systems play an essential role in startup operations. Early-stage companies possess unique ownership structures and board compositions and regulatory needs, yet they encounter risks which governance mechanisms exist to mitigate. The case studies reveal that inadequate governance leads to business failure and trust destruction, yet robust governance systems enable both expansion and enduring organizational success. Startups need to implement governance systems that combine elements from different governance models. The governance system needs to maintain equilibrium between founder leadership, adaptability, responsibility, and investor confidence. The discussion evaluates whether regulatory bodies should enforce strict governance rules on startups or permit governance systems to develop organically. The research recommends a balanced approach which starts with minimal governance during initial development phases before implementing more robust structures when startups achieve market dominance. The research adds value to corporate governance studies through its analysis of startup governance which provides both academic insights and operational guidance for entrepreneurs and investors and policymakers.
