الإذعان في عقود التجارة الإلكترونية

Abstract

تسعى هذه الدراسة إلى تحقيق جملة من الأهداف المتكاملة، تتلخص في البدء بتحديد ماهية العقود التجارية الإلكترونية وتمييزها عن نظيرتها التقليدية، مع استعراض أركانها وآلية إثباتها وانعقادها في كل من التشريع الأردني والمقارن. كما تهدف إلى إيضاح مفهوم الإذعان في هذا النوع من العقود وتبيان المخاطر القانونية المترتبة عليه. بالإضافة إلى ذلك، تسعى الدراسة إلى اقتراح سبل لتحقيق توازن دقيق بين ضرورة تسهيل إبرام العقود الإلكترونية وتلبية الحاجة الملحة لحماية المستهلك. وذلك من خلال تسليط الضوء على مختلف أوجه الحماية القانونية التي يوفرها التشريع الأردني والمقارن لأطراف العلاقة القانونية عند تنظيم مسألة الإذعان في إبرام العقود التجارية الإلكترونية، وذلك بهدف أساسي هو ضمان حماية حقوق المستهلك، لذا فقد اتبع الباحث المنهج الوصفي والتحليلي، بالإضافة إلى المنهج المقارن بين التشريعين الأردني والسعودي.

وقد توصلت الدراسة إلى مجموعة من النتائج والتوصيات، حيث تمثلت أهم النتائج بأنه ما يتعرض له الطرف المذعن في عقد الإذعان يعد إكراها اقتصاديا، يصيب الإرادة، ولم يعتبره القانون المدني الأردني ولا نظام المعاملات المدنية السعودي عيباً من عيوب الإرادة، وإنما قام بمعالجته من خلال منح القضاء سلطة جوازيه في تعديل، وإلغاء الشروط التعسفية الواردة فيها.

لذلك وضعت الدراسة العديد من التوصيات كان أهمها بأنه لا بد من قيام المشرع الأردني والمشرع السعودي بضرورة النص على وضع بعض الشروط بطريقة واضحة وبصورة يلتفت إليها الطرف الآخر، أو يكون قادرا على معرفة فحواها، وخاصة في عقود العمل والبنوك، والعقود الإلكترونية وغيرها.

This study seeks to achieve a set of integrated objectives, which begin by defining the nature of e-commerce contracts and distinguishing them from their traditional counterparts. It also reviews their components, proof mechanisms, and formation in both Jordanian and comparative legislation. It also aims to clarify the concept of compliance in this type of contract and identify the legal risks associated with it. Furthermore, the study seeks to propose ways to achieve a delicate balance between the necessity of facilitating the conclusion of e-commerce contracts and meeting the urgent need for consumer protection. This is achieved by highlighting the various aspects of legal protection provided by Jordanian and comparative legislation to parties to a legal relationship when regulating compliance in e-commerce contracts. The primary goal is to ensure the protection of consumer rights. Therefore, the researcher adopted a descriptive and analytical approach, in addition to a comparative approach between Jordanian and Saudi legislation. The study reached a set of findings and recommendations. The most important conclusion was that the subjection of the submissive party to a contract of adhesion constitutes economic coercion, affecting the will. Neither Jordanian Civil Law nor the Saudi Civil Transactions Law considers this a defect in the will, but rather addresses it by granting the judiciary discretionary authority to amend and revoke arbitrary conditions contained therein.

Therefore, the study put forward several recommendations, the most important of which was that Jordanian and Saudi legislators must stipulate certain conditions in a clear manner that enables the other party to be aware of them or be able to understand their content, especially in employment contracts, banking contracts, electronic contracts, and others.
