This dissertation explores challenges in investor protection within Saudi Arabia's capital market, particularly in the context of Vision 2030's economic diversification goals. Despite progress in corporate governance, transparency, and regulatory oversight, issues like insider trading and financial misrepresentation remain significant risks for individual investors. Through an analysis of legal frameworks, case studies, and regulatory practices, the study identifies gaps in enforcement, legal remedies, and adherence to international standards. It proposes reforms to enhance transparency, strengthen enforcement, and improve investor education. Addressing these gaps is vital to building investor confidence, ensuring market stability, and aligning with global best practices, thereby advancing Saudi Arabia's long-term economic growth and making its market more attractive to domestic and foreign investors.
