| dc.description | In our world today, where the economic strength based on the concept of large trading blocs and turning small businesses into big ones that are able to manage megaprojects to enhance its competitiveness in local and international markets which has led to acquisition, particularly, among joint stock companies. Acquisition is an activity carried out by the company in order to control an other company either directly or indirectly, as it differs depending on the affecting ratio. So, acquisition could be through controlling a part of the capital of the acquired company or through controlling the majority of the voting rights under an agreement with the shareholders of the acquired company. While the Saudi companies law issued 1437 AH is devoid of any legal provisions addressing acquisition, we recommend the Saudi organizer to enact law provisions that addressing acquisition due to the importance of the acquisition of the national economy in the in the coming years. | |
| dc.description.abstract | في ظل العالم المعاصر الذي يرتكز قوامه الاقتصادي على فكرة التكتلات الكبيرة وتحويل الشركات الصغيرة لشركات كبيرة تستطيع القيام بمشروعات عملاقة، لتعزيز قدرتها التنافسية في الأسواق المحلية والدولية، مما أدى إلى ظهور فكرة الاستحواذ بين الشركات خاصة شركات المساهمة. وتعد عملية الاستحواذ نشاطاً تمارسه الشركة للسيطرة على شركة أخرى سواء بشكل مباشر أو غير مباشر، وتختلف بحسب النسبة المؤثرة فقد تتم السيطرة على جزء من رأس مال الشركة المستحوذ عليها، أو السيطرة على أغلبية حقوق التصويت فيها بمقتضى اتفاق مع المساهمين الشركة المستحوذ عليها. وبما أن نظام الشركات السعودي الصادر عام ١٤٣٧هـ جاء خالياً من نصوص قانونية تعالج عملية الاستحواذ، نوصي المنظم السعودي بسن النصوص القانونية التي تعالج موضوع الاستحواذ لأهمية عمليات الاستحواذ للاقتصاد الوطني في السنوات القادمة. | |
